This course examines the underlying economic structure of a variety of business transactions. Parties to deals invariably confront certain structural problems: what if one side knows something important about the transaction that the other side doesn't; what if the deal creates incentives for one party to engage in risky behavior; what if a key condition in the transaction is difficult to demonstrate to an impartial third party? By looking closely at a wide variety of actual deals across a wide range of settings, we can appreciate the legal solutions to these problems and expand the set of tools available to transactional lawyers.
